Welcome to PandaWallets. These Terms and Conditions ("Terms") govern your use of our non-custodial cryptocurrency wallet services and smart contract deployment platform. By accessing or using PandaWallets, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using any PandaWallets services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use our services.
2. Eligibility
You must be at least 18 years old and have the legal capacity to enter into binding contracts. By using PandaWallets, you represent and warrant that:
- You are at least 18 years of age
- You have full legal capacity to agree to these Terms
- You are not located in a country subject to international sanctions or embargoes
- You will comply with all applicable laws and regulations
3. Non-Custodial Service
PandaWallets is a non-custodial service. This means:
- You maintain full control and ownership of your private keys
- We do not store, have access to, or control your private keys or funds
- You are solely responsible for securing your private keys and recovery phrases
- Loss of your private keys or recovery phrases will result in permanent loss of access to your funds
- We cannot recover, restore, or provide access to your wallet if you lose your credentials
4. Account Security
You are responsible for maintaining the security and confidentiality of your account credentials, including:
- Your login credentials
- Your private keys and recovery phrases
- Any seed phrases or mnemonic words
You must immediately notify us at support@pandawallets.com of any unauthorized access or security breach.
5. Smart Contract Deployment Services
PandaWallets provides tools for deploying smart contracts for settlements and compensation arrangements. When using these services:
- You are responsible for understanding the smart contracts you deploy
- Smart contracts are immutable once deployed to the blockchain
- We do not guarantee the functionality, security, or legal enforceability of user-deployed contracts
- You must ensure compliance with applicable laws in your jurisdiction
6. Liquidity Balance Requirement for Smart Contracts
IMPORTANT: When deploying smart contracts for settlements or compensation arrangements through PandaWallets:
- Both parties (sender and recipient) must maintain a minimum liquidity balance of 10% of the total transaction value
- This liquidity requirement serves as collateral to ensure fair execution of smart contract terms
- The 10% liquidity balance must be available in your connected cryptocurrency wallet
- This balance is temporarily locked during smart contract execution
- Upon successful completion of the smart contract terms, the full liquidity balance is released back to you
- This mechanism ensures both parties act in good faith and enables anonymous, trustless transactions
- Failure to maintain the required liquidity may result in smart contract failure or termination
7. Cryptocurrency Risks
You acknowledge and accept the following risks associated with cryptocurrency transactions:
- Irreversibility: Cryptocurrency transactions cannot be reversed once confirmed on the blockchain
- Volatility: Cryptocurrency values can fluctuate significantly
- Network Risks: Blockchain networks may experience delays, congestion, or failures
- Smart Contract Risks: Smart contracts may contain bugs, vulnerabilities, or behave unexpectedly
- Regulatory Risk: Cryptocurrency regulations may change in your jurisdiction
8. User Responsibilities
You agree to:
- Verify all transaction details before confirming (recipient addresses, amounts, gas fees)
- Maintain secure backups of your private keys and recovery phrases
- Comply with all applicable laws, including tax obligations
- Not use the service for illegal activities
- Not attempt to hack, disrupt, or compromise the platform
9. Prohibited Activities
You may not use PandaWallets for:
- Money laundering or terrorist financing
- Fraud or scams
- Illegal transactions or purchases
- Market manipulation
- Violating sanctions or embargoes
- Impersonating others or creating fake accounts
- Distributing malware or viruses
Violation of these prohibitions may result in immediate account suspension or termination.
10. Privacy and Anonymity
PandaWallets is designed to protect user privacy and anonymity:
- We collect minimal personal information necessary for service operation
- We do not track or monitor your transactions
- Blockchain transactions are pseudonymous but publicly visible
- You are responsible for maintaining your own operational security

11. Service Availability
PandaWallets is provided "as-is" without warranties of any kind. We do not guarantee:
- Uninterrupted or error-free service
- Compatibility with all devices or browsers
- Availability of the service at all times
We may modify, suspend, or discontinue services at any time without notice.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- PandaWallets and its operators shall not be liable for any direct, indirect, incidental, consequential, or punitive damages
- We are not responsible for losses resulting from lost private keys, incorrect transaction details, smart contract failures, or cryptocurrency value fluctuations
- We are not liable for blockchain network issues, delays, or failures
- Our total liability shall not exceed the fees paid to us (if any) in the 12 months preceding the claim
13. Indemnification
You agree to indemnify and hold harmless PandaWallets, its operators, and affiliates from any claims, damages, or expenses arising from:
- Your use or misuse of the services
- Your violation of these Terms
- Your violation of any laws or third-party rights
- Smart contracts you deploy or participate in
14. Intellectual Property
All content, trademarks, and intellectual property on PandaWallets are owned by us or our licensors. You may not:
- Copy, modify, or distribute our content without permission
- Use our trademarks or branding
- Reverse engineer our software
15. Termination
We may terminate or suspend your access to PandaWallets immediately, without notice, for:
- Violation of these Terms
- Suspected illegal activity
- Extended periods of inactivity
- Any reason at our sole discretion
As a non-custodial service, termination does not affect your ability to access your funds using your private keys through other means.
16. Dispute Resolution
These Terms shall be governed by the laws of the jurisdiction where PandaWallets is operated, without regard to conflict of law principles.
Any disputes arising from these Terms or your use of PandaWallets shall be resolved through:
- Good faith negotiation between the parties
- If negotiation fails, binding arbitration in accordance with applicable arbitration rules
- You waive any right to participate in class actions or class arbitrations
17. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of PandaWallets after changes constitutes acceptance of the modified Terms.
18. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
